INVITATION TO APPLY FOR ELIGIBILITY AND TO

TO SUBMIT A PROPOSAL

 

BONIFACIO EAST PROJECT (BEP)

 

Pursuant to the Guidelines for the Privatization and Disposition of BCDA Properties (BCDA Joint-Venture Guidelines),  the Bases Conversion and Development Authority (BCDA) invites all interested private sector proponent/participants (PSPs) to participate in a competitive challenge to enter into an unincorporated joint venture for the financing, planning, design, development, operation and management of the Bonifacio East property.

 

The Bonifacio East property is an approximately 60-hectare land to be developed as a mixed-institutional, commercial and residential area with socialized housing component. It is envisioned to be transformed into a green and vibrant sustainable community and as a new landmark in the heart of Metro Manila.

 

The minimum investment commitment for the Project is PhP137 Billion.

 

Interested PSPs may participate in the competitive challenge by submitting their letter of interest to BCDA and purchasing the Instruction to Private Sector Participants (IPSP), as follows:

 

  • Volume 1 - Eligibility Documents, which contains the criteria and documents required to enable PSPs to participate in the competitive challenge. Eligibility shall be based on a non-discretionary “pass-fail” criterion [or the presence (pass) or absence (fail) of eligibility documents]; and

 

  • Volume 2 – Technical and Financial Proposals, which details the requirements and procedures for the submission of technical and financial proposals, with the end-view of determining to whom the BEP shall be awarded.  BCDA reserves the right to amend or supplement this IPSP (Volumes I and II) at any time prior to the submission of the eligibility, and technical and financial proposals.

 

ELIGIBILITY REQUIREMENTS

 

A PSP shall be considered eligible upon compliance with the following minimum eligibility requirements:

 

  1. Legal Capacity

 

The PSP must be an individual, partnership, corporation, or consortium.  In case of a corporation, it must be duly incorporated under the laws of the place of its incorporation.  On the other hand, for consortia, they must identify the lead and consortium members and undertake to be jointly and severally liable for the obligations of the consortium, if awarded the Project.

 

  1. Technical Eligibility

 

The PSP, by itself or through its nominated contractors, must have at least 10 years of experience in real estate development, design, construction, financing and O&M projects similar in nature to the BEP. 

 

  1. Financial Eligibility

 

The PSP should have the capability to finance the completion of the BEP.  The financial capacity shall be measured in terms of the ability of the PSP to provide equity (net worth of the PSP, which should be equivalent to 15% of the minimum investment commitment for the Project or set-aside deposit) and/or debt (notarized statement from a domestic universal/commercial bank, or any international bank recognized by the Bangko Sentral ng Pilipinas, attesting that the PSP is banking with them, is in good financial standing and/or is qualified to obtain credit accommodations to finance the Project).

 

  1. Additional Eligibility Criteria

 

The PSP must likewise execute an Acceptance of Criteria and Waiver of Rights to Enjoin Activity, which shall contain a statement stipulating that the private sector participant has:

 

a.   Accepted the qualification criteria established by the JVSC –BEP; and

b.   Waived any right it may have to seek and obtain a writ of injunction or prohibition or restraining order against the JVSC–BEP to prevent or restrain the qualification proceedings related to the Project, the award of the contract to a successful PSP, and the carrying out of the awarded contract.

 

All requirements for eligibility are specified in IPSP Volume I. 

 

The IPSP (Volumes I and II) will be made available at the BCDA Corporate Center, 2nd Floor Bonifacio Technology Center, 31st Street, corner 2nd Avenue Bonifacio Global City, Taguig City during office hours (8:00AM-6:00AM) from 05 October - 08 November 2018, except weekends, upon payment of non-refundable fee in the amount of Php1,000,000.00, to be paid either in cash, cashier’s or manager’s check issued by a reputable and recognized bank by the Bangko Sentral ng Pilipinas.

 

A Pre-Bid Conference shall be held on Wednesday, 10 October 2018 at 2:00PM at the BCDA Corporate Center, 2nd Floor Bonifacio Technology Center, 31st Street, corner 2nd Avenue Bonifacio Global City, Taguig City.

 

Deadline of submission of Eligibility Requirements, Technical and Financial Proposals shall be at 12:00 noon on 09 November 2018 at the BCDA Corporate Center. Opening of of Eligibility Requirements, Technical and Financial Proposals shall be at 2:00PM on the same day and venue.

 

BCDA received from a Private Sector Entity (PSE) an unsolicited proposal for the Bonifacio East Project. Pursuant to Section 6.12 (k) of the BCDA JV Guidelines, the PSE upon acceptance of its proposal shall be declared with an Original Proponent Status (OPS) who has a right to outbid a challenger.  Under this right, if Government determines that an offer made by a comparative PSP (challenger) is superior or more advantageous to the government than the Proposal of the PSE with OPS, the latter shall be given the right to outbid (RTO) the better offer of the challenger.  Government, regardless of the results of the submission of comparative proposals, assumes no responsibility whatsoever to compensate or indemnify any PSP for expenses incurred in the preparation of the comparative proposals.  Should there be an exercise of RTO, the schedule shall be revised to provide the required time for the exercise of the RTO.

 

The JVSC–BEP, reserves the right to reject, at any time prior to the signing of the JV agreement, any or all proposals without thereby incurring any liability to the affected PSPs, to waive any minor defects therein, and to accept the offer that it deems most advantageous to the Philippine government.
